Terms of service

These Terms of Service (“Terms”) govern your access to https://romeoseo.com, the RomeoSEO application at https://app.romeoseo.com, and related services (collectively, the “Service”). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

If you use the Service for a company or another organization, you represent that you have authority to bind it. In that case, “you” and “your” include that organization. If you do not agree to these Terms, do not use the Service.

RomeoSEO crawls websites, connects to SEO and publishing services, builds a page inventory and business profile, analyzes search and ranking data, finds opportunities, and creates or helps implement SEO work. Depending on the feature and settings you select, work may be delivered as a recommendation, content draft, source-code proposal, pull request, or CMS draft.

Some tasks may run on a schedule or continue in the background. Approval modes may allow RomeoSEO to prepare a pull request or draft automatically after quality checks. RomeoSEO does not merge a GitHub pull request into your default branch. You control publication and are responsible for reviewing changes before they go live.

We may add, change, suspend, or discontinue features. If a change materially reduces paid core functionality, we will provide reasonable notice where practical.

• You must be at least 18 and able to form a binding contract.
• Provide accurate account information and keep access to your email and connected accounts secure. You are responsible for activity under your account.
• Connect only websites, Search Console properties, repositories, CMS projects, and other systems you own or are authorized to manage.
• Tell us promptly at team@romeoseo.com if you suspect unauthorized use.

You may not use the Service to:

• Break the law, infringe rights, deceive people, or distribute harmful or unlawful content.
• Access, crawl, connect, or change a system without permission.
• Upload malware, interfere with the Service, bypass limits, or probe security without written authorization.
• Attempt to access another customer’s account or data.
• Resell, sublicense, or provide the Service as a competing hosted product unless we agree in writing.
• Use automated means to overload the Service or circumvent usage, billing, or access controls.
• Misrepresent automated content as independently verified fact when it has not been reviewed.

We may investigate violations and remove content or restrict access where reasonably necessary to protect users, third parties, or the Service.

You retain ownership of your websites, source code, business information, instructions, and other material you provide (“Customer Content”). You grant RomeoSEO a limited, worldwide license to host, copy, analyze, transform, and transmit Customer Content only as needed to provide, support, secure, and improve the Service for you.

As between you and RomeoSEO, and to the extent permitted by law, you own the drafts, recommendations, images, and source changes generated for your account (“Outputs”). Because automated systems can produce similar material for different users, Outputs may not be unique. You are responsible for confirming that Customer Content and Outputs are accurate, lawful, non-infringing, and suitable for publication.

If you send feedback about RomeoSEO, you allow us to use it without restriction or payment, but we will not publicly identify you without permission.

The Service may connect to Google Search Console, GitHub, Framer, WordPress, Stripe, and other third-party services. You direct us to exchange information with a service when you connect it. Your use of that service remains subject to its own terms and privacy policy.

We are not responsible for third-party services, their availability, their decisions, or changes they make to their APIs or terms. Removing an integration may stop related RomeoSEO features. You can revoke an integration through the provider, and you can delete the related RomeoSEO site or account from Settings.

RomeoSEO uses automated systems and third-party models to analyze data and create Outputs. Automated checks reduce errors but do not eliminate them. Outputs may be incomplete, inaccurate, outdated, unsuitable, or similar to material generated for others. Do not rely on RomeoSEO as a substitute for legal, financial, medical, or other professional advice.

Search engines, competitors, algorithms, websites, and markets change continuously. We do not guarantee rankings, indexing, traffic, conversions, revenue, or any specific result. You decide whether to use, merge, or publish each Output and accept the risks of doing so.

Paid plans, billing intervals, trial terms, usage limits, and prices are shown before checkout and become part of these Terms. Stripe processes payments. You authorize recurring charges, including applicable taxes, at the interval you select until cancellation.

Unless the checkout says otherwise, a trial converts to a paid subscription at its end. Cancel before the trial or current billing period ends to avoid the next charge. You can manage or cancel through the Stripe billing portal linked in Settings. Cancellation takes effect at the end of the paid period. Fees are non-refundable and not prorated except where required by law or where we state otherwise.

We may change prices with advance notice. A price change applies from a future renewal, not retroactively. We may suspend paid features if a charge fails or an account remains past due.

The Service, software, visual identity, documentation, and all related intellectual property other than Customer Content and Outputs belong to RomeoSEO and its licensors. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service during your account term. No other rights are granted.

You may stop using the Service, cancel a subscription, or delete your account at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay, or use the Service in a way that could harm RomeoSEO or others. Where practical, we will give notice and an opportunity to fix the issue.

On termination, your right to use the Service ends. Terms that should reasonably survive, including ownership, payment obligations, disclaimers, liability limits, and general provisions, continue to apply. Data handling after deletion is described in the Privacy Policy.

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” RomeoSEO disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage. We do not promise that the Service will be uninterrupted, error-free, secure, or that all defects will be corrected. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

To the maximum extent permitted by law, RomeoSEO and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, rankings, traffic, or business opportunities, even if advised that such loss was possible.

To the maximum extent permitted by law, RomeoSEO’s total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of US $100 or the amount you paid RomeoSEO for the Service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.

These Terms and the Privacy Policy are the entire agreement about the Service and replace earlier agreements on the same subject. If one part is unenforceable, the rest remains effective. A failure to enforce a term is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, or sale of the business. Neither party is liable for delay caused by events beyond its reasonable control.

We may update these Terms. We will update the date above and provide additional notice of material changes where required. Continuing to use the Service after the updated Terms take effect means you accept them.
